Terms of service

Last updated 8 April 2026 · Collectiva Technologies Limited

1. Introduction and acceptance of terms

Welcome to the Collectiva cooperative management platform ("Platform"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User" or "Member") and Collectiva Technologies Limited ("Collectiva," "we," "us," or "our").

By registering for, accessing, or using our Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

Collectiva is a technology intermediary. We do not operate as a cooperative society, lender, bank, or financial institution. Our Platform provides software tools that enable registered and licensed cooperative societies to manage their operations digitally, including digital savings collection and management, loan processing and disbursement systems, financial record keeping and reporting, member engagement tools and leaderboard competitions, financial education resources and training modules, and administrative dashboards and operational support tools.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE PLATFORM. Your continued use of the Platform following any modifications to these Terms constitutes acceptance of such modifications.

2. Eligibility and registration requirements

To register and maintain an account on the Platform, you must:

  • Be at least eighteen (18) years of age
  • Be a Nigerian citizen or legal resident with verifiable identification
  • Possess legal capacity to enter into binding agreements
  • Be a member in good standing of a registered cooperative society utilizing our services
  • Have access to reliable internet connectivity and a compatible device

Account registration requires completion of our online registration form with accurate information, provision of valid government-issued identification, verification of cooperative membership status, acceptance of your cooperative society's bylaws and policies, and completion of any required know-your-customer (KYC) procedures.

We reserve the right to verify your identity and eligibility at any time. Failure to provide requested documentation or information may result in account suspension or termination.

3. User obligations and responsibilities

You agree to provide complete, accurate, and current information during registration, promptly update your account information when changes occur, notify us immediately of any unauthorized access to your account, and maintain accurate contact information for important communications.

You are solely responsible for maintaining the confidentiality of your login credentials, all activities that occur under your account, immediately notifying us of any suspected security breaches, and using strong passwords and enabling two-factor authentication when available.

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You shall NOT violate any applicable laws, regulations, or third-party rights, engage in fraudulent, deceptive, or misleading activities, attempt to gain unauthorized access to any part of the Platform, use automated systems (bots, scrapers) to access the Platform, interfere with or disrupt the Platform's operation or security, upload or transmit malicious software or harmful content, or impersonate any person or entity or misrepresent your affiliation.

As a Platform user, you agree to meet all payment obligations to your cooperative society in a timely manner, pay applicable fines, penalties, or charges as determined by your cooperative, honor loan repayment schedules and terms as agreed, and comply with your cooperative's financial policies and contribution requirements.

4. Account management and access

Registration is required to access full Platform functionality. Each user may maintain only one active account. Account sharing is strictly prohibited. We may refuse registration or terminate accounts at our sole discretion.

We reserve the right to suspend or terminate accounts for violation of these Terms or applicable policies, fraudulent or suspicious activity, extended periods of inactivity, failure to meet cooperative financial obligations, or misuse of Platform features or resources.

You may request account closure by contacting our support team. However, all outstanding financial obligations must be resolved before closure, certain data may be retained as required by law or cooperative policy, account closure does not relieve you of existing obligations, and we may require a notice period for processing closure requests.

5. Payment processing and financial transactions

All financial transactions must be conducted through our approved payment processors. We utilize PCI-DSS compliant payment gateways for security. Supported payment methods include bank transfers, debit cards, and mobile money. We do not store payment card details on our systems.

All payment data is encrypted during transmission and processing. We implement industry-standard security measures for financial data protection. Users are responsible for ensuring the accuracy of payment information. We are not liable for losses resulting from user-provided incorrect payment details.

Contributions and loan repayments are processed according to your cooperative's schedule. Processing times may vary based on payment method and banking partnerships. Failed payments may result in penalties as defined in your cooperative's policies. All successful transactions will be confirmed via digital receipt.

Platform usage fees are determined by agreements between Collectiva and your cooperative. Additional charges may apply for premium features or expedited services. Late payment penalties are governed by your cooperative's policies. All applicable taxes are the responsibility of the user.

6. Loan services and financial disclaimer

All cooperative societies onboarded onto the Collectiva Platform are independently registered and licensed entities that hold the necessary certifications, permits, and approvals from the relevant Nigerian government ministries and regulatory authorities to operate as cooperative societies and to provide loan services to their members. It is the sole responsibility of each cooperative society to maintain its regulatory standing and compliance with all applicable Nigerian laws governing cooperative lending.

All loans accessible through the Platform are issued exclusively by the cooperative societies themselves, not by Collectiva. The cooperative society is the lender. The cooperative society's member is the borrower. Collectiva is neither. Each cooperative society independently and solely determines its own lending policies, including but not limited to loan eligibility criteria, interest rates, loan amounts and limits, repayment schedules and durations, guarantor requirements, and default and penalty provisions.

Collectiva's role as an intermediary is strictly limited to providing the technology infrastructure that enables cooperative societies to manage their loan operations digitally. This includes processing and transmitting loan applications on behalf of cooperatives, facilitating communication between members and their cooperatives, providing digital record-keeping and reporting tools, and processing payments through approved payment channels on behalf of cooperatives. Collectiva acts only as a conduit and does not exercise any discretion or control over the lending decisions, terms, or outcomes of any loan.

  • Loan interest rates are set exclusively by each cooperative society and are clearly displayed to the borrower before a loan application is submitted
  • The annual percentage rate (APR) applicable to any loan is determined by the cooperative society. The Platform enforces a maximum APR cap of 36%, in compliance with applicable Nigerian regulations and the policies of the cooperative societies onboarded onto the Platform
  • Repayment schedules, including specific due dates and installment amounts, are provided to borrowers upon loan approval and are accessible at all times through the Platform
  • The total cost of the loan, including the principal amount, total interest charges, and total repayment amount, is fully disclosed to the borrower before the borrower commits to the loan application
  • Each cooperative society is solely responsible for ensuring that its loan terms comply with all applicable Nigerian laws, regulations, and the terms of its government-issued operating licenses and certifications

By applying for a loan through the Platform, you acknowledge and agree that: (a) the loan is being provided solely by your cooperative society, and Collectiva is not a party to the loan agreement; (b) Collectiva bears no liability whatsoever for the terms, conditions, approval, rejection, disbursement, collection, or enforcement of any loan; (c) any disputes regarding loan terms, repayment, or any other aspect of a loan must be directed to your cooperative society; and (d) you have reviewed and understood the loan terms, including the interest rate, APR, repayment schedule, total repayment amount, and due dates, before submitting your application.

COLLECTIVA DOES NOT GUARANTEE LOAN APPROVAL, DISBURSEMENT, OR ANY PARTICULAR OUTCOME. All loan decisions are made solely by the cooperative society and its appointed administrators. Collectiva has no influence over, involvement in, or responsibility for loan approval, rejection, or disbursement decisions.

7. Intellectual property rights

The Platform and all related content, including but not limited to software code, algorithms, and technical processes, user interface designs, graphics, and visual elements, text, documentation, and educational materials, trademarks, service marks, and logos, and proprietary methodologies and business processes are the exclusive property of Collectiva and are protected by Nigerian and international intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your participation in cooperative activities.

By submitting content to the Platform (feedback, testimonials, suggestions), you grant Collectiva a worldwide, royalty-free, perpetual license to use, modify, and display such content for Platform improvement and promotional purposes.

You may not copy, modify, or create derivative works of Platform content, reverse engineer or attempt to extract source code, remove or alter proprietary notices or labels, or use our intellectual property for commercial purposes without written permission.

8. Privacy and data protection

Our collection, use, and protection of your personal information is governed by our Privacy Policy, which forms an integral part of these Terms.

We implement reasonable administrative, technical, and physical safeguards to protect your personal information against unauthorized access, alteration, disclosure, or destruction.

We may share your information with your cooperative society as necessary for service provision, third-party service providers under confidentiality agreements, regulatory authorities as required by law, and other parties with your explicit consent.

9. Platform availability and performance

While we strive to maintain continuous Platform availability, we do not guarantee uninterrupted access. The Platform may be unavailable due to scheduled maintenance and updates, technical difficulties or system failures, third-party service provider issues, or force majeure events beyond our control.

We may modify, update, or discontinue Platform features at any time. We will provide reasonable notice of material changes that significantly impact functionality.

Users are responsible for ensuring their devices and internet connections meet minimum technical requirements for Platform access.

10. Dispute resolution and grievances

We encourage users to first attempt resolution of disputes through direct communication with our customer support team, your cooperative society's internal grievance procedures, or mediation services provided through the Platform.

Unresolved disputes shall be handled through good faith negotiation between the parties, mediation through recognized mediation services in Lagos, Nigeria, binding arbitration under the Arbitration and Conciliation Act, or litigation in the High Court of Lagos State as a last resort.

You agree to resolve disputes individually and waive any right to participate in class action lawsuits or collective proceedings.

11. Account termination and suspension

We may immediately terminate or suspend your account for material breach of these Terms, fraudulent, illegal, or harmful activity, repeated violations of cooperative policies, extended non-payment of obligations, or conduct that threatens Platform security or integrity.

Users may appeal account suspensions by submitting a written appeal to our support team, providing relevant documentation or evidence, participating in a review process conducted by our team, or accepting remedial measures if appropriate.

Upon account termination, access to Platform services will be immediately revoked, outstanding financial obligations remain enforceable, certain data may be retained as required by law, and refunds, if any, will be processed according to cooperative policies.

12. Disclaimers and limitation of liability

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, COLLECTIVA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING warranties of merchantability or fitness for a particular purpose, warranties of uninterrupted or error-free operation, warranties regarding data accuracy or completeness, and warranties of security or privacy protection.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COLLECTIVA SHALL NOT BE LIABLE FOR indirect, incidental, special, consequential, or punitive damages, loss of profits, revenue, data, or business opportunities, damages resulting from user negligence or misconduct, losses caused by third-party service providers or force majeure events, or security breaches resulting from user actions or negligence.

Our total liability for any claims arising from Platform use shall not exceed the fees paid by your cooperative society to Collectiva in the twelve months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Collectiva, its officers, directors, employees, and agents from any claims, losses, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, your violation of any third-party rights, or your negligent or wrongful conduct.

14. Modifications to terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through email notification to registered users, prominent notices on the Platform, in-app notifications or alerts, or updated posting of Terms with revised effective date.

Continued use of the Platform following notification of changes constitutes acceptance of modified Terms. If you do not agree to modifications, you must discontinue Platform use.

We maintain records of Term modifications and will make previous versions available upon reasonable request.

15. General provisions

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

Any legal proceedings arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.

You may not assign or transfer your rights under these Terms without our written consent. We may assign these Terms without restriction.

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it subsequently.

These Terms, together with our Privacy Policy and any applicable cooperative agreements, constitute the entire agreement between you and Collectiva regarding Platform use.
